The Actual Confidential Emails by Enron Employees Shared with Koch Employees, the Year right Before the Enron Scandal Became Known

Enron’s scandal became known on October 2001, but throughout the year of 2000, Enron Execs sent out copies, forwarded, or blind copied emails to the same Koch employees involving deregulation of commodities. Prior to 2000, Enron and Koch already had a history together, involving them creating the first weather derivatives. In 2001 Enron makes the news because they go bankrupt. Koch Industries has been around for many years, prior to Enron being created in 1985. Unlike Koch, Enron had none of the power and political influence the Koch brothers wheel. Today Koch Industries have increase their need to dictate today’s politics and having influence over the economics of this country. They have an open battle with President Obama and any agency such as the Environmental Protection Agency that would try their hands regulation.

Ken: Just heard that the House Agriculture Subcommittee plans oversight hearings on the President’s Working Group Report on February 8 and 9 with the first day hearing from the Administration and the second day hearing from industry. However, the Hill does not expect to be asked to introduce the Administration’s legislation by request until March, and, to date, they have seen nothing other than the Report …..although the CFTC has indicated that
release of their position on CEA reform is imminent.

I am contacting the head of PG&E’s D.C. office to ask them to join the group and will keep you posted of their interest.

I, along with counsel for ISDA and counsel for the Coalition of Banks and Investment Banks, met with Chairman Rainer and CFTC staff this morning. As you are aware, Senator Lugar and Congressman Ewing asked us to work with the CFTC to resolve our disagreement over how energy and other nonfinancial commodities should be regulated. This dispute and the even more significant dispute over SEC-CFTC jurisdiction (the Accord) are the most significant remaining issues with the legislation. In that context, you may be aware that the CFTC and SEC reported to Congress yesterday that they have not been able to work out the Accord issues. We were informed prior to our meeting
this morning that the House and Senate bills on CFTC reauthorization are likely to be introduced today. I will transmit copies as soon as I get them. It is my understanding that both bills do a good job for us with respect to legal certainty for energy and other nonfinancial commodities.

In this light, we met with the CFTC and reviewed with them the attached two-page legislative proposal. The most significant problem that we have is the CFTC’s discomfort at providing an exclusion for bilateral, nonfinancial transactions. In essence, the CFTC does not want to go beyond the recommendations of the President’s Working Group. We have continued to insist that nonfinancial bilateral transactions be treated like financial bilateral transactions and be carved out of CFTC jurisdiction. Our meeting was very cordial and the CFTC said that they would be taking our comments into consideration. Unfortunately, inability to get passed the bilateral issue effectively forecloses resolution of the other issues in our outline.

Separately, we understand the CFTC is moving forward with its regulatory relief package which they hope to publish sometime next week. We understand that it will be published with a 45-day comment period.

Steve – here is a brief update. The answer to the question on why exchanges should remain regulated, while we stay unregulated. The answer is: \”Enron provides a variety of risk manangement services to our customers, but these are not futures contracts which the CFTC has primary jurisdiction to regulate. We offer swaps, hubrids, etc., but no futures\”. We met with House Agriculture Committee Minority and Majority Staff, Senate Banking Committee Staff and Senate Agriculture Committee Staff. The bill clearly is moving and there is a good chance it will go to the Floor of the House next week. The bilateral exemption for physical commodities (non-agricultural commodities) is accepted and should be secure. We have problems with the electronic trading facility exemption for physical commodities.HouseThe House Agriculture Committee remains inclined to exclude metals from the exemption. We are working with the Commerce Committee (which has not excluded metals) to change that result.SenateWe have a much more severe problem in the Senate. Senate democrats led by Senator Harkin are very concerned to go against the CFTC in favor of big energy companies. They want the CFTC to endorse the exemption. Unfortunately, as you are aware, the CFTC (recently the Chairman himself) have been heavily lobbying against the exemption. Subject: New Optimism

A number of new positive developments last night. Senator Gramm is actively engaged and his issues are being aggressively negotiated. There remain a number of outstanding points but there is good cooperation with the Administration to get this done. Senator Gramm has been contacted by a number of people including members of our Energy Group and Alan Greenspan urging passage of the bill. This clearly has had an impact. Senator Gramm appears committed, and he and his Staff are very focused.

With respect to physical commodities, our issues remain essentially untouched from the House bill. I expect that this is where we will be if the legislation gets passed. It looks now like Congress will be in next week, perhaps until Thursday. While this is painful, it does give them more time to work out unresolved issues.

I will continue to keep you apprised.
